Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the NexoHub software-as-a-service platform, websites, Shopify application, Google Workspace integrations, AI agents, automations, dashboards, APIs, documentation, and related services (collectively, the “Service”). These Terms form a binding agreement between NexoHub LLC (“NexoHub,” “we,” “us,” or “our”) and the business, organization, or person that installs, accesses, or uses the Service (“Merchant,” “Customer,” “you,” or “your”).
Key operational statement.When NexoHub sends email through Gmail or Google Workspace, it does so from the Merchant's connected Google account, on the Merchant's behalf, and under the Merchant's instructions. NexoHub does not supply recipients, and does not independently determine the Merchant's lawful basis for contacting customers.
1. Acceptance of Terms
By creating an account, installing the NexoHub Shopify app, connecting a Shopify store or Google Workspace account, accessing the dashboard, or otherwise using the Service, you accept these Terms and our Privacy Policy.
2. Service Description
NexoHub is a SaaS platform that allows Shopify merchants to connect store data, configure AI agents, automate operational workflows, generate content, run customer lifecycle automations, and send Merchant-configured emails through connected Google Workspace or Gmail accounts. The Service may include cart recovery workflows, customer winback workflows, inventory-related alerts, customer segmentation, order analysis, AI-generated email drafts, workflow execution, logs, and dashboards.
NexoHub does not own or operate your Shopify store, your Google account, your customer list, or your email domain. NexoHub does not guarantee any specific sales uplift, deliverability rate, or revenue outcome.
3. Eligibility and Account Registration
You may use the Service only if you are legally capable of entering into a binding contract and are using the Service for business purposes. You must provide accurate account, store, billing, and contact information. You are responsible for all activity under your account, including activity by employees, contractors, and other authorized users.
4. Merchant Responsibilities
You are responsible for your Shopify store, customer relationships, connected accounts, data, configurations, automations, email campaigns, legal compliance, and business decisions. You must:
- Provide privacy notices and obtain consent or another lawful basis before sending marketing emails
- Include required disclosures, sender identity, unsubscribe mechanisms, and suppression handling in emails
- Review AI-generated content before relying on it or sending it to customers
- Grant only permissions needed for your selected workflows
- Protect credentials and restrict administrator access
- Comply with all applicable privacy, anti-spam, data protection, and consumer protection laws
5. Data Protection Roles
For personal data relating to your Shopify customers, you are generally the controller. NexoHub generally acts as your processor and processes that data on your documented instructions. Where required by applicable law, the parties will enter into a Data Processing Addendum.
6. Shopify Protected Customer Data
If you authorize NexoHub to access Shopify Protected Customer Data (names, emails, order history, abandoned checkout data), you must use the Service only for approved, disclosed, and lawful use cases. NexoHub will use Shopify Protected Customer Data only to provide and support the Service. NexoHub will not sell Shopify customer data or use it for unrelated third-party advertising.
7. Google Workspace, Gmail, and Email Sending
If you connect Google Workspace or Gmail, you authorize NexoHub to use the permissions granted through OAuth to send Merchant-configured emails, maintain integration status, and perform related functions. You remain the sender and initiator of all emails sent through your connected Google account.
You are solely responsible for ensuring that all emails sent using the Service comply with CAN-SPAM, GDPR, ePrivacy rules, CCPA/CPRA where applicable, Israeli direct-marketing rules where applicable, Google policies, and your own terms with Google. You must not use the Service to send spam, phishing, deceptive messages, or emails to recipients who have opted out.
8. API Credentials and Security
NexoHub stores session data and integration tokens in encrypted form. You must not share credentials insecurely, bypass authentication controls, or attempt unauthorized access to NexoHub or connected systems. If you suspect unauthorized access to your account or any connected system, notify NexoHub promptly and take steps to contain the incident.
9. AI Agents and Human Oversight
AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific circumstances. You are responsible for reviewing outputs before relying on them or sending them to customers. You must not use NexoHub AI agents for unlawful profiling, discrimination, or decisions producing legal or similarly significant effects on individuals unless expressly authorized by NexoHub in writing.
10. Permitted Use and Acceptable Use
You may use the Service only for lawful business purposes in accordance with these Terms, documentation, platform rules, and applicable laws. Prohibited uses include sending spam or unlawful commercial email; using purchased or scraped lists; phishing; impersonation; malware distribution; misleading headers or subject lines; unlawful profiling; reverse engineering; or using the Service to build a competing product.
11. Merchant Content and Data
You retain ownership of your Merchant data, customer data, store data, email templates, prompts, and configurations. You grant NexoHub a limited license to host, process, and use Merchant Content solely as necessary to provide, secure, support, and maintain the Service.
12. Third-Party Services
The Service depends on third-party services including Shopify, Google Workspace/Gmail, Supabase, Gadget.dev, Vercel, Inngest, OpenAI, and Anthropic. Your use of third-party services is governed by their own terms. NexoHub is not responsible for third-party service outages, policy changes, or API changes.
13. Billing, Credits, and Cancellation
If the Service includes paid plans, usage-based pricing, or credits, you agree to pay all applicable fees. Subscriptions automatically renew until cancelled. Cancellation stops future renewal but does not automatically refund fees already paid. Credits may expire and may have no cash value. NexoHub may change pricing prospectively by providing reasonable notice.
14. Confidentiality
Each party will protect the other's confidential information using reasonable care and use it only to perform or receive the Service. Confidential information excludes publicly available information or information independently developed without use of confidential information.
15. Service Availability and Changes
NexoHub will use commercially reasonable efforts to provide the Service but does not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, provider outages, security events, or force majeure events. NexoHub may modify features from time to time.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” NEXOHUB DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND UNINTERRUPTED OPERATION. NEXOHUB DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR MARKETING COMPLIANCE ADVICE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXOHUB AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF DATA; BUSINESS INTERRUPTION; EMAIL DELIVERABILITY ISSUES; OR REGULATORY PENALTIES CAUSED BY YOUR INSTRUCTIONS OR MISUSE. NEXOHUB'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU DURING THE THREE MONTHS PRECEDING THE EVENT; OR (B) USD 100.
18. Indemnification
You will defend, indemnify, and hold harmless NexoHub and its affiliates from and against claims arising out of your Merchant Content, your Shopify store, your email campaigns, your violation of law or platform rules, your breach of these Terms, or your use of customer data without proper rights, notices, consent, or lawful basis.
19. Suspension and Termination
You may stop using the Service at any time. NexoHub may suspend or terminate your access if you breach these Terms, fail to pay fees, create security or legal risk, violate platform rules, or misuse email functionality. Upon termination, your right to access the Service ceases.
20. Beta Features
NexoHub may offer beta, preview, or early-access features. Beta features may be incomplete, unstable, or changed without notice and are provided for evaluation only.
21. Changes to Terms
NexoHub may update these Terms from time to time. We will provide notice of material changes through the Service, by email, or on our website. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
22. Governing Law
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Israel, without regard to conflict-of-laws rules.
23. Dispute Resolution and Jurisdiction
The parties will first attempt to resolve disputes in good faith. If a dispute is not resolved within 30 days after written notice, it will be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel, unless applicable law requires a different forum.
24. General
These Terms, together with the Privacy Policy and any applicable Data Processing Addendum, constitute the entire agreement between the parties regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. The parties are independent contractors.
