Welcome to NexoHub. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

NexoHub is a platform that connects AI and LLM developers, creators, and enthusiasts. We provide tools for sharing, selling, and discovering AI-powered tools and resources.

2. User Accounts

2.1 Account Registration

To access certain features of NexoHub, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

3. Creator Program

3.1 Becoming a Creator

Users can apply to become Creators on NexoHub by completing the Creator onboarding process and paying the applicable membership fee. Creators can upload, sell, and distribute tools through our marketplace.

3.2 Revenue Sharing

NexoHub charges a 15% platform fee on all sales made through the marketplace. Creators receive 85% of the sale price for their tools. Payouts are processed through PayPal and are subject to PayPal's terms and conditions.

3.3 Creator Responsibilities

As a Creator, you agree to:

• Provide accurate descriptions of your tools
• Ensure your tools do not contain malicious code
• Respect intellectual property rights
• Provide reasonable support to purchasers
• Comply with all applicable laws and regulations

4. Marketplace & Purchases

4.1 Purchases

All purchases are final. We do not offer refunds except as required by law or at our sole discretion in cases of significant defects or misrepresentation.

4.2 Licensing

When you purchase a tool, you receive a license to use it according to the terms specified by the Creator. This license does not transfer ownership of the tool or its intellectual property.

5. User Content

5.1 Content Ownership

You retain ownership of all content you submit to NexoHub. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with operating our platform.

5.2 Prohibited Content

You agree not to submit content that:

• Is illegal, harmful, or fraudulent
• Infringes on intellectual property rights
• Contains malware or malicious code
• Violates privacy rights
• Is spam or misleading
• Promotes discrimination or violence

6. Community Guidelines

Our platform thrives on respectful interaction. You agree to:

• Treat other users with respect
• Provide constructive feedback
• Not engage in harassment or bullying
• Report violations of these Terms

7. Intellectual Property

NexoHub and its original content, features, and functionality are owned by NexoHub and are protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXOHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the platform after such changes constitutes your acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
